Terms of Service

1. Agreement to Terms
These Terms of Service govern the provision of services by SOMA sp. z o.o., registered in Warsaw, Poland at ul. Białej Floty 2/20, 02-654 Warsaw, entered in the National Court Register (KRS) under number 0001164842, tax identification number (NIP) 5214111998 (hereinafter referred to as “Midas”, “we” or “Service Provider”).
By using our website midasforscale.com or entering into a service agreement with us, you accept the provisions of these Terms. If you do not agree with these Terms, please do not use our services.
2. Definitions
- Service Provider — SOMA sp. z o.o., operating under the Midas brand.
- Client — a natural person conducting business activity, legal entity, or organizational unit using Midas services.
- Services — consulting, design, and implementation services in the field of AI automation for e-commerce, described in detail in separate agreements or orders.
- Website — the website available at midasforscale.com.
3. Scope of Services
Midas provides services in the field of business process automation using artificial intelligence, including in particular:
- Lead generation and outbound marketing automation
- CRM automation and Revenue Operations
- Website and web application development
- AI infrastructure (API integrations, AI agent systems)
The detailed scope, timeline, and pricing for each project are defined in a separate agreement or Statement of Work.
4. Client Obligations
- Providing accurate and complete information necessary for the delivery of services.
- Ensuring access to systems and tools required for project execution.
- Timely payment in accordance with the agreement.
- Designating a contact person responsible for ongoing communication.
5. Intellectual Property
All materials, solutions, and software created for the Client as part of a project become the property of the Client upon full payment, unless otherwise specified in the agreement.
Midas retains rights to pre-existing tools, frameworks, libraries, and know-how used in the project. The Client receives a non-exclusive license to use these elements within the delivered solution.
6. Payment Terms
Payment terms are defined in the separate agreement or order. In case of late payment, the Service Provider reserves the right to charge statutory interest for delay in accordance with Polish law and to suspend service delivery until outstanding amounts are settled.
7. Confidentiality
Both parties agree to maintain the confidentiality of all information obtained in connection with the delivery of services that is not publicly available. This obligation applies during the cooperation period and for 2 years after its termination, unless otherwise specified in a separate agreement.
8. Limitation of Liability
The Service Provider's liability is limited to the net fees paid by the Client in the 12 months preceding the event causing the damage.
The Service Provider shall not be liable for indirect damages, lost profits, data loss, or business interruption, unless the damage results from the Service Provider's intentional fault.
The above limitations do not apply to the extent that mandatory provisions of applicable law do not allow such limitations.
9. Termination
Either party may terminate the service agreement with 30 days' written notice (including email), unless otherwise specified in a separate agreement.
The Service Provider may terminate the agreement with immediate effect in the event of a material breach of these Terms or the agreement by the Client.
10. Data Protection
Personal data processing is carried out in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and the Polish Act of May 10, 2018 on the Protection of Personal Data. Detailed information about personal data processing can be found in our Privacy Policy.
11. Complaints
Complaints regarding the services provided can be submitted via email to: kamil@midasforscale.com. A complaint should include a description of the issue and the contact details of the person filing it.
The Service Provider will review the complaint within 14 days of receipt and inform the Client of its resolution.
12. Governing Law and Dispute Resolution
These Terms are governed by Polish law. Any disputes arising from these Terms or related to the provision of services shall be resolved by the court having jurisdiction over the Service Provider's registered office (Warsaw, Poland), unless mandatory provisions of law provide otherwise.
13. Changes to Terms
The Service Provider reserves the right to amend these Terms. Changes take effect upon publication on the Website. Clients will be notified of significant changes via email. Continued use of services after changes are introduced constitutes acceptance of the new Terms.
